Alfasigma USA Terms and Conditions
By using the services provided by Alfasigma USA, Inc.’s (“Alfasigma USA”, “our”, “us” or “we”) website (collectively the “site”), or purchasing products from Alfasigma USA, you are agreeing to the following terms and conditions. Please read these terms carefully before utilizing the site or making a purchase.
1. PURCHASING AND PAYMENT
1.1 Product Selection: By purchasing an Alfasigma USA product, you acknowledge you are legally capable of entering into binding contracts; you are at least 18 years old; and you have a mailing address in the United States. Further, if you are purchasing an Alfasigma USA product that is sold by prescription you acknowledge that you have a valid prescription, and the product is being taken in accordance with instructions provided by a healthcare provider. All Alfasigma USA medical food products and targeted nutrition products should be used under medical supervision.
1.2 Pricing and Payment Process: Most purchases are subject to applicable taxes and charges for shipping and handling. Alfasigma USA product pricing is subject to change without notice. The price charged for a product will be the price in effect at the time of the order. For Alfasigma USA products purchased from our site, terms of payment are within our sole discretion and payment must be received before our acceptance of an order. Information on payment processing under our Subscribe and Save can be found in our Subscribe and Save Terms and Conditions. For all credit card/debit card/electronic payment purchases from our site, you represent and warranty that (i) any payment information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such method of payment for the purchase, and (iii) you will pay the purchase price, including any applicable taxes, shipping or handling, if any.
2. SHIPPING POLICY
2.1 For Alfasigma USA products purchased from our site, orders received by 3 pm Eastern Time, Monday through Friday will ship out the same day, excluding holidays. Orders received after 3 pm Eastern Time, will be processed on the next shipping day. Check the individual product ordering page for specific delivery options. As applicable, you must pay all shipping and handling costs specified during the ordering process. You must provide an actual street address for all orders. Alfasigma USA only ships product orders within the United States. Unfortunately, at this time, we cannot ship to an Army Post Office (APO) or Fleet Post Office (FPO) addresses since we cannot guarantee UPS delivery.
2.2 Although we do not require a signature for delivery, it is at the discretion of the UPS driver to leave a package at your door. Title and risk of loss for the product pass to you upon our transfer of the product to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. Alfasigma USA is not responsible for lost or stolen orders. Shipping charges may apply to orders returned to us as undeliverable or misdelivered orders due to an incorrect address.
2.3 For Alfasigma USA products purchased outside of our site refer to the seller’s shipping policy.
3. CANCELLATION, RETURNS, AND REFUND POLICY
All sales are considered final. For Alfasigma USA products purchased directly from our site, once an order has been placed, it cannot be cancelled, we do not accept product returns, and we do not offer any refunds or exchanges. For Alfasigma USA products purchased outside of our site refer to the seller’s cancellation, returns, and refund policy.
4. PRIVACY POLICY
The privacy of our customers is paramount. The collection and use of personal information are governed by our Privacy Policy posted to our site, which outlines our practices regarding data protection and confidentiality.

6. WARRANTY
We warrant to you that any product purchased from us, on delivery, conforms with its description, and is of satisfactory quality.
7. WRITTEN COMMUNICATIONS
When using our site, you accept that communication with us will be mainly electronic. We may contact you by e-mail, phone call, text or provide you with information by posting notices on our website.
We collect email addresses and phone numbers for specified purposes, including sending newsletters, promotional communications, account updates, and other relevant information related to our products or services. Your email address and phone number will not be shared, sold, or rented to third parties without your explicit consent, except as required by law or as described in our Privacy Policy. By submitting your email address or phone number, you agree to receive periodic marketing messages (including but not limited to newsletters and updates from us regarding our products and services). You can unsubscribe at any time by clicking the "unsubscribe" link at the bottom of our emails, replying “opt out” to our texts, or by contacting us directly at the email address on the label of the applicable Alfasigma USA product or info.us@alfasigma.com. We retain email addresses and phone numbers for as long as necessary to fulfill the purpose for which they were collected or as required by law. If you unsubscribe, your email address and/or phone number, as applicable, will be removed from our active mailing lists but may be retained for compliance purposes or to provide you with information regarding your orders from Alfasigma USA.
For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.
8. NOTICES
All notices given by you to us must be mailed to the address or email address on the label of the applicable Alfasigma USA product or emailed to us at: info.us@alfasigma.com. We may give notice to you either via e-mail, postal address, or phone number (either call or text) that you provide to us. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail or text is sent, or 3 days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.
9. EVENTS OUTSIDE OUR CONTROL
9.1 Alfasigma USA will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by events outside our reasonable control (“Force Majeure Event”).
9.2 A Force Majeure Event includes any act, event, non-happening, omission, or accident beyond our reasonable control and includes in particular (without limitation) the following:
9.2.1 Strikes, lockouts or other industrial action; 9.2.2 Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
9.2.3 Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
9.2.4 Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
9.2.5 Impossibility of the use of public or private telecommunications networks; and
9.2.6 The acts, decrees, legislation, regulations or restrictions of any government.
9.3 Our performance is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations may be performed despite the Force Majeure Event.
10. SEVERABILITY
If any of these terms and conditions are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
11. OUR RIGHT TO VARY THESE TERMS AND CONDITIONS
Alfasigma USA has the right, at its sole discretion and without notice, to revise and amend these terms and conditions from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our systems’ capabilities. Changes will be effective immediately upon posting on our site. We encourage you to review our terms periodically to stay informed of any updates.
12. SUBSCRIBE AND SAVE TERMS AND CONDITIONS
The following terms and conditions (referred to as ''Terms'' in this Section) relate to our Subscribe & Save subscription program (''Subscribe & Save''). These Terms are between you and Alfasigma USA and/or its affiliates (collectively referred to as “Alfasigma USA”, ''we'', ''us'', or “our” in this Section), and govern your and our respective rights and obligations. These Terms constitute the entire agreement between you and Alfasigma USA relating to Subscribe & Save. Please note that your use of our websites and our related services is also governed by our Terms and Conditions and Privacy Policy, as well as all other applicable terms, conditions, limitation, and requirements on our site, all of which (as may be updated from time-to-time) are incorporated into these Terms. By placing an order through Subscribe & Save , you agree, on behalf of yourself and all other users who may utilize Subscribe & Save under your account, to these terms, conditions, limitations, and requirements and acknowledge that such orders may subject you to recurring fees and/or terms. Please read these Terms carefully. If you do not agree to these Terms, please do not place an order through or otherwise enroll in Subscribe & Save.
12.1 How the Subscribe & Save Works: When you purchase a product through Subscribe & Save (an “Eligible Product”), you agree to have your credit card, or other applicable form of payment, charged every billing cycle on a recurring basis. Eligible Products on a monthly billing cycle will be charged on the same calendar day of the following month. Eligible Products on a bi-monthly billing cycle will be charged on the same calendar day of every other month. Approximately five (5) calendar days prior to your next purchase through Subscribe & Save, you will receive a notification reminding you of your upcoming order and charge. You will additionally receive notifications once an Eligible Product is purchased through Subscribe & Save, and once the Eligible Product has shipped to your address on file. Please allow up to five (5) business days for shipping. There is no additional shipping charges for Eligible Products purchased through Subscribe & Save; you may, however, choose to use expedited shipping at an additional charge.
We reserve the right to change any Subscribe & Save benefits, including any discount amounts, shipping discounts, and eligibility used to determine discount amounts, at any time in our sole discretion. Some of the offer details may change as you receive deliveries over time (for example, price, taxes, availability, shipping charges, and seller). Any and all changes you make to Subscribe & Save will apply to your future orders.
By enrolling in Subscribe & Save, you authorize us to provide you notifications regarding your subscription. These notifications include new subscription orders, payment reminders, subscriptions that are skipped, paused, expired, resumed, or cancelled, and payment failures and retries. Please carefully review all Subscribe & Save benefits, including any important details and terms, before enrolling in or placing an order through Subscribe & Save.
12.2 Subscribe & Save Eligibility: Subscribe & Save is only available to customers shipping an Eligible Product to addresses in the United States. An Eligible Product is limited to only those products of Alfasigma USA which prominently display the Subscribe & Save purchase message or option. Subscribe & Save benefits, discounts, and any limited time special subscription promotions in effect apply only to eligible items. Special limited time subscription promotions will only apply during their effective dates. Your participation in Subscribe & Save is personal to you, and you may not assign or transfer your participation in, or the benefits received as part of Subscribe & Save, to any third party without our authorization. We reserve the right to not ship you a subscription shipment for one or more subscription periods, for which you will not be charged. Subscribe & Save is good while supplies last. Subscribe & Save is void where prohibited.
12.3 Payment, Renewal & Frequency of Charges: After placing your first order for an Eligible Product, you will be enrolled in Subscribe & Save with respect to that product. The total cost charged to your payment method for each Subscribe & Save order will be the cost of the item on the day that order is processed (which is subject to change), less the Subscribe & Save discount, plus any applicable sales tax, shipping charges, and fees.
BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR SUBSCRIBE & SAVE ENROLLMENT WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND THE SUBSCRIPTION CHARGE(S) WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD. Unless you cancel, we will automatically fulfill your Subscribe & Save order according to your chosen delivery schedule. If you do not want your Subscribe & Save order to automatically renew, you may cancel your subscription pursuant to Section 12.4 below. If we are unable to complete your Subscribe & Save order with the payment method you used to create your subscription, you will receive a notification informing you of this. By enrolling in Subscribe & Save, you authorize Alfasigma USA to automatically retry failed payments periodically over the course of your billing cycle. We will attempt to facilitate payment once per day, for five (5) consecutive days. If payment is unable to be made from your payment method on file, you authorize us to update your subscription with another payment method in your account and to charge the payment method for your Subscribe & Save order. Alfasigma USA reserves the right to terminate your Subscribe & Save enrollment following any unpaid periods in Subscribe & Save. Alfasigma USA are not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank.
12.4 Cancellation: Your enrollment in Subscribe & Save will remain in effect until it is cancelled. You may cancel your Subscribe & Save subscription at any time by logging into your account and cancelling the subscription. Cancellations become effective immediately unless such cancellation is made less than forty-eight (48) hours before the next billing cycle, in which case the cancellation will be processed for the following billing cycle. If you cancel your subscription and then later reactivate the subscription, the discount applied to any Subscribe & Save item may not be the same discount in effect at the time of cancellation. If the Subscribe & Save discount percentage for such Subscribe & Save item changes, the new discount will be applied to your future shipments of the Eligible Product.
12.5 Skip, Pause & Resume: You may skip, pause, and resume your Subscribe & Save subscription at any time by logging into your account and selecting the corresponding option. Skipping, pausing and/or resuming your Subscribe & Save subscription becomes effective immediately. If you skip or pause your subscription and then later resume the subscription, the discount applied to any Subscribe & Save item may not be the same discount in effect at the time your account was originally skipped or paused. If the Subscribe & Save discount percentage for such Subscribe & Save item changes, the new discount will be applied to your future shipments of the Eligible Product.
12.6 Termination: We may terminate your Subscribe & Save subscription at our discretion without notice. If we cancel your Subscribe & Save subscription after you have been charged a subscription price, but prior to our shipment of the subscription shipment for that subscription period, your subscription will be canceled and we will give you a refund of the applicable subscription price for that subscription period. Alfasigma USA will not provide any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, or involves fraud or misuse of any Subscribe & Save subscription. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
12.7 Returns and Refunds: All returns and refunds of Subscribe & Save subscription shipments are subject to our Returns Policy and Refunds Policy set forth in Section 3 of our Terms and Conditions.
12.8 Changes to Subscribe & Save and these Terms: We may, in our sole discretion, change the price for a Subscribe & Save subscription at any time for any reason. All changes will be effective upon your next billing cycle. If you do not agree with the price change, you have the right to reject the new subscription charge and avoid these charges by canceling your enrollment in Subscribe & Save.
We may, in our sole discretion, change these Terms, (including all applicable Subscribe & Save benefits, subscription charges, billing cycles, and the terms, conditions, limitations and requirements on our sites), without notice. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED PARTICIPATION AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTIONS.
